Jeroen specialises in banking and securities law, with a particular focus on acquisition financing, real estate financing, project financing, syndicated and bilateral loans, and structured loans. He advises clients on drafting and negotiating financing documents in distressed and non-distressed situations. His national and international clients include banks and other financial institutions, private equity firms and other funds.

Advised an ad hoc group of secured lenders to Tupperware Brands Corporation who successfully completed the acquisition of certain key assets of the Tupperware Group, including global rights to the Tupperware brand name and related intellectual property as well as operations in core geographic markets. Operations in these global core markets will continue uninterrupted and customers will be able to purchase products from independent Tupperware sales consultants, Tupperware ecommerce sites and retail partners.

Represented Fortenova Group, the largest food producer and retailer in South-Eastern Europe with an annual turnover of EUR 5 billion and 47.500 employees, in the implementation of a comprehensive restructuring resulting from the presence of sanctioned debt and equity holders in its capital structure and cross-border litigation in connection therewith.

Advised Lumileds, a global leader in innovative lighting solutions, in its comprehensive financial restructuring. Lumileds emerged from a Chapter 11, resulting in a leadership transition and a funded debt reduction of approximately USD 1.4 billion.

Represented Agilitas Private Equity Services Limited in the acquisition of TenCate Advanced Armour Holding B.V., the global leading manufacturer of lightweight survivability solutions.

Assisted the Salvation Army in setting up the investment fund 'Stichting Leger des Heils WoonVermogen' for construction projects that make a social impact. The 'Stichting Leger des Heils WoonVermogen' is funded by private investors and aims to build 250 residences for vulnerable people in the coming years.

Advised PFA Pension on the acquisition of the New Babylon commercial complex in The Hague from Icon Real Estate. The New Babylon has approx. 40,000 m2 of lettable floor area (LFA). Hannover Leasing represented PFA Pension in the transaction.

Advised Real I.S. on the acquisition and financing of five newly constructed distribution centres with a total area of 115,000 m² in Europoort Rotterdam from DHG for €142 million.

Houthoff advised TH Real Estate on the acquisition and financing of a modern logistics complex in Rotterdam (Maasvlakte II). This is the second acquisition for TH Real Estate's European Logistics Fund. The vendor is selling the property in a sale and long-term leaseback transaction. The property comprises two buildings, dating from 2008 and 2016. It has a total lettable area of 39,500 square metres, most of which is laid out for the storage of hazardous goods.

Advised OSX Brasil S.A. and its Dutch subsidiaries. on the restructuring of their consolidated debt of over US$ 2.5 billion, including representing the OSX companies in various litigation matters in the Netherlands as well as coordinating litigation abroad. The team worked also on the debt restructuring of OSX 3, the USD 450 million bond structure and the syndicated debt of USD 850 million.

Assisted ShoppingParks N.V., Terzetmus B.V., Kempen & Co N.V. and KBC Securities N.V. with the successful accelerated bookbuild offering of 750,000 shares in the capital of Retail Estates N.V., a Belgian publicly listed real estate company. ShoppingParks N.V. and Terzetmus B.V. are two closed-end Dutch real estate funds managed by Freeland.

Assisted Heimstaden AB with the indirect acquisition and financing of 9,544 residential units in the Netherlands at a purchase price of EUR 1.4 billion. Through this acquisition, Heimstaden has become the third largest private residential property owner in the Netherlands. This is the largest real estate transaction ever in the Netherlands in terms of the number of housing units.
