On 26 July 2023, TIE Kinetix N.V. ("TIE Kinetix") and SPS Commerce, Inc. ("SPS") announced they had reached a conditional agreement on the acquisition of all business and operations of TIE Kinetix. The latter company specialises in simplifying supply chain processes through the fully electronic exchange of business documents, while SPS is the world’s leading retail network, connecting trading partners around the globe to optimise supply chain operations for all retail partners.
Under the terms of the agreement, SPS International, Inc., a wholly-owned subsidiary of SPS, will acquire from TIE Kinetix all shares in the capital of TIE Kinetix Holding B.V., the holding company of all TIE Kinetix group operations. Certain major shareholders of TIE Kinetix, together holding approximately 67% of the issued and outstanding shares of TIE Kinetix, have irrevocably agreed to vote in favour of the transaction at the EGM, which is expected to be held during the first half of September 2023. The transaction is expected to close during the third quarter of 2023, subject to the satisfaction of customary closing conditions.
TIE Kinetix has the majority of its business and operations in continental Europe (the Netherlands, Germany and France) whereas SPS's business is concentrated in the Americas and Asia. Consequently, the boards of both parties believe that the combination of the respective businesses will allow for continued development and growth of the businesses of TIE Kinetix and SPS.
